Junior Corporate Legal Counsel [Spain]

You will provide legal services as an intermediate member of and lawyer with the Finance and Subsidiary Governance (“F&SG”) group which is a part of the Corporate section of HP's Global Legal Affairs team.

The F&SG group manages and supervises annual compliance and corporate restructuring projects of HP across the globe in coordination with HP's Tax, Controllership, Treasury and local legal departments. The F&SG group supports many stakeholders in the company to perform services and complete projects from relatively simple corporate law matters to highly complex and critical operations. F&SG also manages and supervises integration projects in coordination with country teams, keeps director appointments current through staff changes, and provides assistance on other compliance and governance matters.

Additionally, you will support Treasury and Credit with financial transactions, credit, collections, and cash flow initiatives. You will negotiate bank guaranty lines, corporate guaranties, work on international insolvencies, and handle complex financial transactions.

Responsibilities:

• Draft board and shareholder resolutions and other corporate documents and ensure their proper execution.

• Review legal step plans for corporate transactions for simplicity, correctness, and completion. Ensure proper execution by authorized signatories.
• Handle day-to-day and annual corporate compliance of world-wide holding and operating entities.
• Manage company secretariat for those companies.
• Manage approval of deadlines and processes.
• Monitor corporate filings.
• Communicate effectively with internal departments and liaise with outside counsel.
• Advise various stakeholders (finance, tax, controllership, and treasury, among others) on corporate law and corporate compliance matters for HP subsidiaries.
• Design, implement and monitor compliance with corporate governance policies.

Education and Experience Required:

• Advanced university degree in law (e.g. JD or LLB) from a recognized European university.
• Admission to a bar/solicitors roll in Europe.
• 3-4 years of legal experience at a law firm or in-house, with a focus on corporate law and corporate compliance.

Knowledge and Skills:
General breadth of knowledge and demonstrated practical experience within corporate law, corporate compliance and company secretariat.

• Advanced organizational and project management skills.
• People and communication skills.
• Ability to work under pressure to tight deadlines.
• Proactive and effective communicator of valuable information to clients and colleagues.
• Languages: English mandatory, Spanish, French or German a plus.
